Article I
Name and Purpose
1. The name of this organization shall be Northern Knights, Inc. as registered
with the Secretary of State of the State of California.
2. The purpose of this Club is the hands-on restoration, modification and repair
of member automobiles; to provide and regulate events, cruises, rallies
and shows for its members.
Article II
Membership and Dues
3. The first 30 members of this club shall be designated as Charter Members and
shall pay $40.00 in dues for the first year and $25.00 per year thereafter.
Annual dues for all other members shall be $25.00 per year. Charter
Members shall be issued a Charter Member ID card with a Charter Member
number. This number is permanently assigned and can not be reissued.
4. Membership is open to anyone with an interest in the hands-on restoration,
modification and repair of automobiles.
5. Each membership shall extend to the family members of that Club member.
6. Dues are due annually in January. Failure to pay dues by the March meeting
will result in termination of membership.
7. Dues shall be used to offset Club expenses including, but not limited to, the
monthly newsletter and the Club web site.
8. Dues for new members shall be calculated on a quarterly basis from the date
their membership becomes active: $25.00 to march 31; $18.75
to June 30; $12.50 to September 31; $6.25 to December 31
Article III
Meetings
9. Meetings are normally held on the second Saturday or Sunday of each month,
holidays excepted.
10. The meeting place for each successive meeting will be determined at the
previous meeting. Meetings may be held at members homes, restaurants, or
other places deemed feasible.
11. Special meetings may be called by the Board of Directors, or by request of five
members.
12. A quorum shall be met with 51% of membership in attendance, and properly
overseen by having at least one Executive Officer or Director present.
Article IV
Elections
13. Elections shall be held during the December meeting each year. Any member
may nominate another member for office.
14. The President, Vice President, Secretary, Treasurer, Sergeant At Arms, Activity
Director, and Newsletter Editor shall be elected to one
year terms. There shall be no limitation to the number of consecutive terms a
member can hold a specific office. Members are also allowed to hold more
than one elected position.
15. In the event that an office becomes vacant, an election shall be held at the
next monthly meeting to fill the vacancy. The newly elected officer shall hold
the position only until regular elections are held at the December meeting.
16. An Officer may be removed from office for just cause by a vote of 2/3 of the
membership.
Article V
Committees
17. A Finance Committee shall consist of 5 Club members, those being the
President, Secretary, Treasurer, and 2 other members, elected or not.
The committee shall meet prior to each monthly meeting with a minimum of
2 members from the committee attending the meeting. The President,
Secretary and Treasurer shall have signature privileges for the Club bank
account. Any bank check that is written for any purpose shall require 2
signatures from any of the 3 designated signers.
18. Committees may be formed as needed by the officers, and shall report to the
membership of their progress and activities at each meeting.
Article VI
Dissolution
19. In the event of dissolution, the assets of the Club shall be donated to charity.
